By accessing or using Audiere ERP, you agree to be bound by these Terms & Conditions and all applicable laws and regulations.
User Responsibilities
Users are responsible for maintaining the confidentiality of their account credentials and all activities under their account.
Service Usage
Audiere ERP must be used only for lawful healthcare, clinic management, and operational purposes within authorized organizations.
Payments & Billing
All payments for subscriptions or services must be made on time. Failure to pay may result in suspension or termination of services.
Prohibited Activities
Users may not misuse the platform, attempt unauthorized access, reverse engineer, or interfere with system security.
Limitation of Liability
Audiere ERP is not liable for indirect damages, data loss, or business interruption caused by usage of the platform.
Violation of Terms May Result in Suspension
Any misuse of the platform, security breach attempts, or unauthorized access may lead to immediate account suspension or termination.
Detailed Terms of Service
Welcome to Audiere ERP. These Terms and Conditions govern your access to and use of the website https://audiere.org and the Audiere ERP clinical software platform (the "Platform" or "Service"). This Platform is owned and operated by Dizzilabs Neuro-Vestibular Research & Development LLC, a Delaware Limited Liability Company (File Number: 3996366, EIN: 38-4161623) with principal offices at 19 W 34th St Ste 1018, New York, NY 10001.
1. Software License and Authorized Access
Subject to compliance with these Terms and payment of applicable licensing fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Audiere ERP for clinical operations, patient records management, inventory tracking, and scheduling within your medical practice. You may not license, sell, lease, transfer, or reverse engineer any part of the Platform.
2. Subscription Billing and Payment Terms
Access to the Platform is provided on a subscription basis (monthly or annual billing) in accordance with your organization's service agreement. All fees are quoted in U.S. Dollars (or local equivalent currency) and must be paid in full by the due date. Failure to make payments within 14 days of the invoice date may result in immediate suspension or termination of access to your ERP database.
3. Refund and Cancellation Policy
Our cancellation and refund guidelines are structured to maintain transparent operations:
- Cancellation: You may cancel your subscription at any time by providing a 30-day written notice to support@audiere.org. Upon cancellation, your access will continue until the end of your current paid billing cycle.
- Refunds: Due to the enterprise nature of the Audiere ERP platform, all software licensing fees and setup costs are non-refundable. No partial refunds or credits will be issued for unused portions of billing cycles. Any custom service SLA refund clauses must be explicitly negotiated in your written contract.
4. Data Ownership and Compliance
You retain all ownership, rights, and responsibilities regarding patient record entries, files, and database content uploaded by your staff to the Service. You represent and warrant that your collection and processing of patient data comply with all applicable regional healthcare laws (including HIPAA in the USA, and local GCC regulations in Oman, Saudi Arabia, UAE, etc.).
5. Governing Law and Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of the **State of Delaware**, USA, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Dover, Delaware, or New York, NY, and you hereby consent to personal jurisdiction therein.
